Establishing in Sweden

Three ways in — and one tax question that decides.

Most companies ask “do we need a Swedish entity?”. The better question is whether you will have a permanent establishment (fast driftställe) for tax purposes — that is what determines your obligations here. Broadly, there are three routes:

Subsidiary — aktiebolag (AB)

A Swedish limited company: its own legal entity with share capital from SEK 25,000, a board, Swedish bookkeeping and an annual report filed with the Companies Registration Office (Bolagsverket). The default choice when you are building a real operation here.

Branch — filial

A registered Swedish branch of your foreign company. Not a separate legal entity, but it is registered with Bolagsverket, needs a managing director and keeps its own Swedish books. Companies outside the EEA also appoint a person in Sweden authorised to receive official documents.

No entity at all

Often overlooked: you can sell cross-border, or register as a foreign employer and hire in Sweden, without forming anything — as long as no permanent establishment arises. VAT registration may still be required.

    Employer registration, payslips, social security contributions (arbetsgivaravgifter) and the monthly per-employee PAYE reporting to the tax agency.

  • Year-end & statutory filings

    The statutory annual report, the corporate income tax return, and the deadlines that come with them. Over 1,000 year-end closes behind us.

  • A local finance function

    A named partner that Swedish banks, the tax agency (Skatteverket) and auditors can call directly — up to and including interim CFO work.
